New rules for general meetings and board meetings

Cominginto force on January 1, 2023, the reform of stock corporation law contains new provisions relating to general meetings and meetings of the
board of directors, such as virtual or foreign general meetings,
or electronic board resolutions. This article
covers these new features.

Introduction

The new provisions on company law have been in force since January 1, 2023. These changes had been awaited for many years, in particular to bring the law into line with the practice that has developed over time. Among the innovations introduced by the revision of the law on public limited companies, the procedures for convening shareholders’ meetings have been slightly modified, and the holding of shareholders’ meetings has been modernized. In addition to the traditional “face-to-face” format, a number of other options are now available. However, these innovations entail additional obligations for the Board of Directors. In addition, the presence of an independent representative is now required in certain cases.
